HP Case Study Session: The Legal, Ethical and Governance Dimensions

Recent allegations regarding press leaks and the conduct of an investigation to identify the source of those leaks at HP raise a plethora of legal, ethical, and corporate governance issues. A panel of Stanford professors, including Joseph Grundfest, Deborah Rhode and Robert Weisberg, will review recent disclosures regarding these developments at HP and explore the broader implications of these events.

  • Are there constructive lessons that other corporations, directors, and executives can learn from the HP experience?
  • How can and should corporations react to concerns over boardroom and other leaks?
  • Were the practices employed in the HP investigation illegal or unethical? Where does a corporation draw the line between "proper" and "improper" legal techniques?
  • When can individual directors and officers be held liable for corporate activities conducted without their express knowledge?
  • What kind of legal exposure do HP and its directors and officers have in connection with ongoing SEC investigations and pending derivative litigation?
  • What lessons can be learned from the way the story developed in the media?
