The Stanford Rock Center for Corporate Governance, a joint initiative of Stanford Law School and the Stanford Graduate School of Business, will be hosting a Directors' College program in Beijing in partnership with The NASDAQ OMX Group. Directors' College China will bring together a small and select group of leading Stanford faculty, CEOs, board members and practitioners for a rigorous and balanced examination of corporate governance, strategy, and compliance at the new Stanford Center at Peking University.
The program will be an intensive one-day program for board members and senior executives of Chinese companies listed (or planning to list) in the U.S. The curriculum will address a broad range of problems that confront these boards: appropriate corporate governance measures including the role of independent directors, the processes by which the board reviews interested-party transactions, SEC filings, executive compensation, M&A and litigation risk (with particular attention to foreign firms' exposure), and the increasing importance of institutional investors. In addition, the program will address current trends in new regulations, listing requirements and, more broadly, private equity and venture in China.
The program is designed to generate practical "takeaway" pointers that can be responsibly applied to a broad range of boardroom concerns.
