About the Event: Want to buy stock in Facebook, Twitter, Zynga and many other hot internet companies even though they aren’t yet publicly traded? New online services such as SecondMarket and SharePost facilitate these transactions, which have created liquidity, as well as new issues and challenges, for private Silicon Valley companies and their shareholders. The scrutiny of practices surrounding private company share transactions has been heightened by the SEC’s ongoing inquiry into secondary markets and by Goldman Sachs’ recent private placement of Facebook shares. This session explores the legal, business, and public policy challenges posed by these transactions, as well as a variety of measures that private companies can implement to control risks created by this new phenomenon.
